Terms of Use

These Terms are an agreement between you and the contracting entity responsible for the operations of Talkey:

Note: "Talkey" refers to the proprietary language learning service and product name, and is not a separate legal corporation.

Minimum Age: You must be at least 16 years old to create an account. If you are between 16 and the age of legal majority in your country, you may use Talkey only where permitted by applicable law and, where required, with the involvement of a parent or legal guardian.

Sanctions Compliance: You represent and warrant that you are not located in a country subject to a U.S. or EU government embargo, and that you are not listed on any U.S. or EU government list of prohibited or restricted parties.

Talkey provides an interactive language learning platform featuring spaced repetition flashcards, pre-structured courses, EPUB e-book imports, podcast transcription exercises, and progress tracking.

Service Modifications & Paid User Safeguards: We reserve the right to modify, update, or discontinue features of the Service. However, if you are an active paid subscriber and we make a change that materially reduces the core functionality of your paid subscription:

• We will provide reasonable advance notice through the App or via email where practicable.
• We will ensure continued access to the paid functionality through the end of your billing cycle, or offer equivalent replacement value.
• Where a material paid feature is permanently discontinued before the end of a prepaid subscription period, we will provide any refund, credit, continued access, or other remedy required by applicable law and permitted through the relevant payment provider.
• We will provide a grace period to allow you to export your private vocabulary decks and study materials.

To use our core features, you must create a Talkey account. Talkey utilizes passwordless authentication (secure magic links and OTP verification codes sent directly to your registered email address, or third-party OAuth providers like Google and Apple). You do not need to create or store a password.

Account Responsibility Limits: You are responsible for all activities that occur through your account to the extent they are caused by your action, omission, or failure to use reasonable security precautions (e.g. sharing your device, email inbox access, or authentication links, codes, or sessions). You are not responsible for unauthorized activity caused by our breach of these Terms, our negligence, or security failures within systems under our sole control.

Our Refund and Cancellation Policy forms part of these Terms and explains the different cancellation and refund processes for Apple and Paddle purchases. We offer monthly, quarterly, and annual auto-renewable premium subscription plans to access advanced study features. The specific details, prices, and features are clearly displayed on the subscription purchase screens before you confirm the order.

You retain full ownership of the materials, deck flashcards, text prompts, and files you create or upload to the App ("User Content").

Licence Scope: You grant us a worldwide, non-exclusive, and royalty-free licence to host, store, reproduce, process, convert format, back up, transmit, and display your User Content only as reasonably necessary to operate, secure, and provide the Service, perform requested AI translations/examples, sync data, and enforce these Terms. We do not acquire proprietary ownership of your content.

Licence Termination: This content licence terminates immediately when you delete your content or your account, except for cached data in temporary security backups (deleted within 90 days), data we are legally obligated to retain, or public content previously shared/cloned by other users.

Content Imports: You represent that you own the content you import (such as Anki files, custom TXT lists) or possess the statutory right or licence to import and study from it (e.g. public domain materials or permitted personal copy exceptions).

We will act reasonably and restrict account access only upon specific, objective grounds, including:

• Violation of these Terms or the Community Guidelines.
• Involvement in payment abuse, credit card fraud, or chargeback manipulation.
• Posing an active security risk to our servers or other users.
• Engagement in unlawful conduct, harassment, hate speech, doxxing, or distributing malware.
• Violation of statutory trade sanctions or export lists.
• Repeated intellectual property infringements.

If you believe that any public content on Talkey infringes your copyright, you may submit a formal complaint to our Copyright Contact:

Your complaint must include: identification of the copyrighted work; the URL or location of the alleged infringement; your contact details; a statement of good-faith belief; and a statement under penalty of perjury that the information provided is accurate.

We implement a repeat infringer policy and will disable accounts that repeatedly post copyrighted materials without authorization. You may import content for personal study only where you own it, hold a licence, or are otherwise legally authorized (such as public domain or fair use exceptions).

Talkey uses a pre-trained artificial intelligence model to generate flashcard translations, pronunciation advice, and context examples. Please be aware of the following parameters:

• No Guarantee of Accuracy: AI outputs are probabilistic. Translations, grammar tips, and examples may contain errors or cultural biases. You should cross-verify critical study outputs.
• Not a Certified Instructor: Automated tips do not replace qualified teachers or official language materials.
• Prohibited Inputs: You must not input illegal, offensive, or sensitive personal information (such as health details or private identity records) into AI generation boxes.
• Output Rights: You own the specific collections of decks you construct, but we do not guarantee that AI-generated outputs are unique, nor do we assert copyright ownership over individual AI-generated translations.
• AI Training Disclosures: We use third-party pre-trained models and do not fine-tune them on your private study decks. Our AI provider may process and retain submitted inputs under its own policies. Do not input confidential, proprietary, or sensitive personal information into our AI features.

Third-party content (such as podcast feeds fetched via PodcastIndex and books listed via Gutendex) remains the sole responsibility and property of their respective rightsholders and providers.

Availability through Talkey does not grant you a proprietary licence or right to copy, distribute, or commercially exploit that third-party content. Certain content may be subject to regional territorial restrictions, licensing limits, or third-party terms. Public domain status of specific e-books may vary by country; you are responsible for verifying compliance with local intellectual property laws.

All software, brand designs, logos, and learning course materials original to Talkey are owned exclusively by Remelith and are protected by applicable copyright, trademark, and other intellectual-property laws.

Decompilation Limits: Except to the extent expressly permitted by mandatory applicable law, you may not decompile, reverse engineer, or attempt to extract source code from the App binary.

Open Source: Specific components of the App are offered under separate open-source licences (such as MIT, Apache 2.0). Those licences govern the relevant libraries and override these Terms if a direct conflict exists.

Mandatory Warranties: Nothing in these Terms excludes, restricts, or modifies any warranty, consumer right, or digital conformity remedy that cannot legally be excluded under mandatory local consumer protection laws (including statutory conformity guarantees for digital services in the EU/UK).

Subject to the above mandatory protections, the App is provided "as is". We do not guarantee that the App will be completely free of bugs, that server communication will be entirely uninterrupted, or that you will achieve specific fluency milestones.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event will Remelith be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill, arising out of or in connection with the Service. Our total liability for any claims under these Terms, whether in contract, tort, or otherwise, is limited to the greater of (a) the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) fifty U.S. dollars ($50.00).

To the extent permitted by applicable law, you agree to indemnify and hold harmless Remelith only against third-party claims, losses, or legal liabilities arising directly from:

• Your intentional unlawful conduct.
• Content you upload that directly infringes third-party copyrights or intellectual property.
• Your fraud or material breach of our Acceptable Use Policy.

You do not indemnify us for claims arising from our own negligence, breach of terms, or security failures within systems under our control. We will provide prompt notice of any claim and will not settle any matter imposing liability on you without your written consent.

Account Deletion: You have the right to terminate your account at any time. You can trigger account deletion inside the App (Settings → Account → Delete Account) or via our website portal. Account deletion will remove your data profile and files from our live databases in accordance with the timelines in our Privacy Policy.

Suspension & Termination by Talkey: We will only suspend or terminate your account upon specific breaches (fraud, security hazards, or clear violation of Acceptable Use). Except in cases of urgent security risk or legal requirement, we will provide you with prior notice, the reason for suspension, and a reasonable opportunity to appeal.

Governing Law: These Terms are governed by the laws of the Republic of Azerbaijan, without regard to conflict-of-law rules.

Consumer Exceptions: If you are a consumer residing in the EU, UK, or other regions, this choice of law does not deprive you of mandatory consumer protections provided by the laws of your country of residence. You may bring claims in any court of competent jurisdiction available to you under mandatory local law.

Informal Dispute Resolution: Before initiating any formal legal claim, you agree to contact us at legal@talkey.app to attempt to resolve the issue informally.

If you download our mobile application from the Apple App Store, these Terms incorporate Apple's mandatory End User License Agreement (EULA) provisions:

• Agreement: These Terms are concluded solely between you and Remelith, not Apple. We are solely responsible for the App and its contents.
• Scope of Licence: Your licence is a non-transferable licence to use the App on Apple-branded products that you own or control, and as permitted by Apple's usage rules.
• Support & Maintenance: We are solely responsible for providing support. Apple has no obligation whatsoever to furnish maintenance or support.
• Warranty & Refund: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the Licensed Application. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.
• Product Claims: Remelith, not Apple, is responsible for addressing any claims relating to the App or your possession/use of it (including product liability, legal compliance, and consumer protection).
• Intellectual Property: In the event of any third-party claim that the App infringes intellectual property rights, Remelith, not Apple, will be responsible for the investigation, defence, settlement, and discharge of such claims.
• Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce them against you.
• Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Terms of Agreement: You must comply with applicable third-party terms of agreement when using the App (for example, you must not be in violation of your wireless data service agreement when using the App).
• Contact Details: All developer, support, or privacy enquiries must be routed directly to Remelith at privacy@talkey.app or support@talkey.app, or Matbuat Ave. 12b, Baku, Azerbaijan.

We may update these Terms to reflect operational shifts, updates to the Service, or regulatory compliance requirements.

Material Changes: For any modifications that materially impact your rights or subscription terms, we will provide at least 30 days' advance notice through the App interface or via email. We may require you to accept the revised Terms before continuing to use the App. If you do not agree to the revised Terms, you may cancel your subscription and delete your account without penalty.

Administrative, legal compatibility, or emergency security modifications may take effect immediately upon posting.

Entire Agreement: These Terms constitute the entire contract between you and Remelith regarding the Service, superseding prior versions.

Severability: If any provision is deemed unenforceable by a court of law, that provision is severed and the remaining terms continue in full force.

Support & Response Times: We do not establish legally binding support response hourly guarantees. We aim to respond to support inquiries within a reasonable period based on the urgency and nature of the issue. Statutory privacy or consumer requests are processed strictly within the periods required by applicable laws.

Governing Language: These Terms are executed in English. Any translation provided is for convenience only, and the English version shall govern in the event of any conflict or inconsistency.
